A typical ODD review will look at the main operations of the target company to see if the business plan provided is achievable with the existing operational facilities and capital expenditure that is outlined. It will also consider if there’s the potential for additional value to be gained from the target company by improving its operational function and also whether there are serious operational risks about which the potential buyer should be concerned. However, we believe much more can be done to review and understand the value of the people employed in a target company.
